This week, discover how BNP Paribas Corporate & Investment Banking has managed the acquisition of British Energy by EDF through Nuclear Power Notes.
In 2008, EDF was ready to abandon the acquisition of British Energy as shareholders found that the EDF offer was insufficiently attractive. BNP Paribas Corporate Finance suggested that EDF improve its offerings by supplementing it with “Nuclear Power Notes”.
Shareholders were able to opt to receive the notes which associated them with the energy price market and the performance of existing British Energy nuclear power stations.
Accordingly, they benefited from the growth potential of the company without this representing a brake on British Energy. Thanks to this solution, EDF was able to finalize the acquisition of British Energy.
The acquisition of British Energy using the solution conceived by Corporate Finance represents the largest international expansion of EDF to date.
Bruno Villard, Managing Director of CIB Corporate Finance Energy, explains the project.
